These terms are the agreement between UAB "Solario projektai" ("Claister", "we") and the accounting firm or other organisation that creates a Claister workspace (the "Customer"). The person who creates the workspace accepts them on the Customer's behalf and confirms that they may do so. The Data Processing Agreement at claister.com/dpa forms part of these terms.

1. The service

Claister is a workspace for accounting firms: clients, recurring work, deadlines, documents, client requests, time, messages, payments and a client portal, with optional connections and AI features. We provide it as it exists at the time and may improve or change it. We will not remove a feature the Customer relies on without reasonable notice.

Claister does not file returns, post to ledgers or make payments on its own. The Customer's accounting ledgers remain its financial system of record. AI features draft and suggest; a person in the Customer's team decides and confirms before anything is sent, saved or changed for a client.

2. Accounts and people

The Customer decides who joins its workspace, what each person can see and which clients use the portal. It is responsible for what its team members and portal users do in the workspace, for keeping sign-in details safe and for telling us without delay about unauthorised access it discovers.

Each person needs their own account. People must be at least 18 years old and must give accurate account information.

3. The Customer's data

The information the Customer and its users put into Claister ("Customer Data") belongs to the Customer. We use it only to provide, secure and support the service, as described in the Data Processing Agreement. We do not sell Customer Data, use it for advertising or use it to train general-purpose AI models.

The Customer is responsible for having a lawful basis to put personal data into Claister, for informing its clients and other people whose data it processes, and for the instructions it gives through its settings, including which connections and AI features it turns on.

4. Acceptable use

The Customer and its users must not use Claister to break the law, infringe others' rights, send unsolicited bulk messages, upload malware, probe or overload the service, get around access controls, or access another firm's data. We may suspend access that puts the service, other customers or the public at risk, and will tell the Customer why unless the law prevents it.

5. Connections and other services

The Customer may connect services such as email accounts, Telegram, ledgers and other tools. Those services are provided by their own operators under their own terms. When the Customer connects one, it instructs us to exchange data with that service as the connection requires.

6. Fees

Fees, if any, are those agreed with the Customer or shown when it subscribes. Prices are stated without VAT unless they say otherwise. During the pilot, access is provided on the terms agreed with each pilot firm.

7. Availability and support

We aim to keep Claister available and to fix faults promptly, and we announce planned maintenance where we can. We do not yet offer a service-level commitment. Support is available at business@claister.com.

8. Export and switching

The Customer can export its data at any time in a commonly used, machine-readable format. Where the export in Settings does not yet cover something, we provide it on request within 30 days. We do not charge for exports or for switching to another provider, and we will reasonably assist the Customer in moving its data to another service or its own systems.

When the Customer ends the agreement, its data stays available for export for 30 days. After that we delete the workspace and its stored files from the active service, and backups expire on their regular cycle as described in the Data Processing Agreement, unless the law requires us to keep something longer.

9. Term and ending the agreement

The agreement starts when the workspace is created and continues until either party ends it. The Customer can end it at any time by asking a workspace owner to close the workspace or by writing to us; notice takes effect within at most two months. We can end it with 60 days' notice, or immediately if the Customer seriously breaches these terms and does not remedy the breach after we have told it about it.

10. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for this agreement. Our staff and contractors who can access Customer Data are bound by confidentiality.

11. Liability

Each party is liable for damage it causes by breaching this agreement, as provided by law. Except for wilful misconduct, gross negligence, and liability that cannot be limited by law, each party's total liability under this agreement in any 12 months is limited to the fees the Customer paid in those 12 months, and neither party is liable for lost profits or indirect loss.

Claister does not give tax, accounting or legal advice. The Customer remains responsible for its professional work and for checking anything Claister, including its AI features, prepares.

12. Changes to these terms

We may update these terms. We will tell workspace owners about material changes at least 30 days before they take effect, and an owner accepts the new version in Settings. If the Customer does not accept a material change, it may end the agreement before the change takes effect.

13. Law and disputes

These terms are governed by the law of the Republic of Lithuania. Disputes go to the courts of Vilnius, Lithuania, unless mandatory law gives the Customer another forum.
